Terms of Service
The rules for using our website and services.
Effective date: 2 November 2026
These Terms of Service ("Terms") apply to your use of micrologicx.net and to the services provided by MicrologicX Software House ("MicrologicX", "we", "us"), including our WhatsApp Business messaging service. By using our website or services, you agree to these Terms. If you use our services for a business, you confirm that you are allowed to accept these Terms for that business ("Client").
1. Our services
We provide software development, website and mobile app development, graphic design, IT training and business messaging services. The scope, price and timeline of project work are agreed in a written quotation or agreement. If that agreement conflicts with these Terms, the agreement applies.
2. WhatsApp messaging service
We help Clients send and receive WhatsApp messages with their customers ("End Users") using the WhatsApp Business Platform from Meta Platforms, Inc. and messaging infrastructure from Twilio Inc.
- The Client connects its own WhatsApp Business Account and phone number through Meta's Embedded Signup. The Client stays the owner of that account, number and display name.
- We create a separate Twilio account for each Client and send messages from the Client's number on its instructions.
- Meta reviews and approves display names, message templates and messaging limits. We cannot guarantee that Meta will approve them, and Meta may restrict or disable a WhatsApp account under its own policies.
3. Client responsibilities
When you use our WhatsApp messaging service, you agree to:
- Follow the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Commerce Policy.
- Message only End Users who have given you their phone number and agreed to receive WhatsApp messages from you, and keep a record of that agreement.
- Stop messaging any End User who asks you to stop.
- Give accurate information about your business, and keep your contact and billing details up to date.
- Take responsibility for the content of every message and template you send, and for having a privacy policy that tells your End Users how you use their information.
- Keep your login details safe and tell us at once if you think someone else has used your account.
4. Prohibited use
You must not use our website or services to:
- Send spam, bulk messages to people who did not agree to receive them, or messages to bought or scraped phone lists.
- Promote gambling, adult content, illegal drugs, weapons, or any product or service that WhatsApp's Commerce Policy does not allow.
- Send fraudulent, misleading, threatening, harassing or illegal content, or pretend to be another person or business.
- Collect payment card numbers, passwords or other sensitive data through WhatsApp messages.
- Attack, overload, or try to get unauthorised access to our systems, our website, or other Clients' data.
5. Fees and payment
- Our service fees are set out in your quotation or invoice.
- Meta charges for WhatsApp messages and Twilio charges for its services. We pass these charges on to the Client at the rates shown in your quotation or invoice, unless we agree otherwise in writing.
- Invoices are due within the period shown on the invoice. We may pause the messaging service if an invoice is unpaid after we have given you notice.
6. Data protection
Our Privacy Policy explains how we handle personal information. For End User messages, we act as the Client's service provider and use the data only to provide the service to that Client. You can ask us to delete your data at any time, as described in the data deletion section of the Privacy Policy.
7. Meta, Twilio and other third parties
Our messaging service depends on Meta and Twilio. Their terms also apply to your use of WhatsApp and Twilio. We are not responsible for outages, policy changes, price changes, account restrictions or other decisions made by Meta, Twilio or other third-party providers, but we will help you resolve them where we can.
8. Suspension and termination
- You can stop using our services at any time by telling us in writing. Fees for work already done or messages already sent remain payable.
- We may suspend or end your access, with notice where possible, if you break these Terms or WhatsApp's policies, if Meta or Twilio requires it, or if your use puts our service or other Clients at risk.
- When the service ends, we disconnect your WhatsApp number from our account, close the Twilio account we created for you, and delete your data as described in our Privacy Policy. Your WhatsApp Business Account and phone number remain yours.
9. Intellectual property
The content and design of micrologicx.net belong to MicrologicX. You keep all rights to your own business content, logos and messages. Ownership of software we build for you is set out in your project agreement.
10. Disclaimer
We provide our website and services with reasonable care and skill. Apart from that, they are provided "as is". We do not promise that they will be uninterrupted or error free, or that every message will be delivered, because delivery depends on Meta, Twilio, mobile networks and the End User's device.
11. Limitation of liability
To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profits, lost business or lost data. Our total liability for any claim about the services is limited to the fees you paid us for those services in the three months before the claim.
12. Indemnity
You agree to cover our reasonable losses and costs if a third party, including Meta or Twilio, brings a claim against us because of the messages you sent, the content of your templates, or your breach of these Terms or WhatsApp's policies.
13. Governing law
These Terms are governed by the laws of Pakistan. The courts of Faisalabad, Punjab, have jurisdiction over any dispute about them.
14. Changes to these Terms
We may update these Terms from time to time. We will post the new version on this page with a new effective date. If the change is significant, we will also tell our Clients by email. If you keep using our services after a change, you accept the new Terms.
